Terms of Service

These Terms of Service and End-User License Agreement ("Terms") govern your access to and use of the Pacifica Innovations platform and related software, websites, and services (collectively, the "Service"), operated by Pacifica Innovations ("Pacifica," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Use of the Service

The Service is provided for use by Pacifica and its authorized employees, contractors, and business partners to manage quoting, orders, production, billing, and related business operations. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for these authorized business purposes, subject to these Terms.

2. Accounts and Security

Access to non-public areas of the Service requires an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate access that we reasonably believe is unauthorized or in violation of these Terms.

3. Third-Party Services and QuickBooks

The Service may connect to third-party services that you authorize, including Intuit QuickBooks Online. When you connect such a service, you authorize Pacifica to access and exchange data with it on your behalf to provide the Service's features (for example, creating invoices and retrieving payments and deposits). Your use of any third-party service is also governed by that provider's own terms and policies. We are not responsible for third-party services and may discontinue an integration at any time.

4. Acceptable Use

You agree not to misuse the Service, including by attempting to access it through unauthorized means, interfering with its operation, reverse engineering it except as permitted by law, or using it to violate any applicable law or the rights of others.

5. Intellectual Property

The Service, including its software, design, and content, is owned by Pacifica or its licensors and is protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

6. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

7. Limitation of Liability

To the maximum extent permitted by law, Pacifica will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Service.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. Upon termination, your right to use the Service ends. Sections intended to survive termination will continue to apply.

9. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted on this page, with the "Last updated" date revised accordingly. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
